In our value advisory business, we offer across entrepreneurial and special situations:

 

1. Executive and managerial mandates

As part of our clients’ executive management team, our directors lead the turnaround, incubation and scale-up of our clients’ companies or a specific business initiatives by taking on its day-to-day operational responsibilities. We further assist in M&A transactions and principal investments by joining and leading the management team during divestments or acquisitions such as a buy-to-build strategy. Our work is success-oriented across well-defined milestones, and can be structured on an interim or permanent basis. The roles typically include the ones of the chief executive, chief operating and/or chief restructuring/transformation officer in accordance with our clients’ specific situations and needs.

2. Advisory mandates

We act as advisors across the corporate and transaction life cycle, and assist our clients’ in their specific situational needs with

  • ​Strategy development, validation and roadmaps such as turnaround and value creation plans,

  • Investor and due diligence support with commercial and operational focus during M&A transactions and principal investments,

  • Planning and execution of business transformation initiatives, restructurings, disposals, greenfield build-ups, and buy-to-build or fix strategies

 

Specialisation and track record


We have been specialising and building a track record in innovation and special situations across the corporate and M&A lifecycle with focus on enterprise software/software as a service (SaaS) and artificial intelligence (AI), as well as technology-enabled services at the intersection with the financial ecosystem.

Our long-term experience and expertise are with the build-up, scale-up and transformation of banking, investment & capital-market technology solutions and their integration in the incumbent ecosystem through interoperability and straight through processing; as well as the use of big-data and machine learning in intelligence and decision augmentation for strategic insight and risk management at financial institutions. We have been working in public and private markets on advanced analytics and workflow optimisations. We also bring experience with use cases for blockchain and distributed ledger technologies in the area of infrastructure and global data utilities.

 

We believe in specialised risk taking and work with speciality finance and alternative asset managers in building and enhancing their operating platforms with innovative technology solutions. We have been working on the build-up of a pan-European private-capital platform for small- and mid-size enterprises (SME) with an embedded service offering for payments, trading, accounting and risk management under the principles of open finance. This proposition is based on our previous experience with scaling and carving out challenger banking platforms as part of a wider track record in the large-scale restructuring and transformation of global capital markets/corporate & investment banking businesses and regional banks. In delivering this proposition, we remain dedicated to our long-term experience in devising and executing alternative-investment strategies for asset-liability management and asset-restructuring in the banking and insurance sectors.
